WHEREAS ZEMCORE GROUP LTD AND EMERGE MODULAR LTD (together with Emerge Modular Ltd) has invented, created or has developed a product, service or model to which they intend to provide, manufacture or distribute: AND WHEREAS the Disclosed Party may, as a result of said discussions, acquire certain confidential information pertaining to the business, financial affairs, discoveries, inventions and trade secrets pertaining to the business of ZEMCORE GROUP LTD AND EMERGE MODULAR LTD, the parties hereto hereby covenant and agree to and with each other as follows: 1. The Disclosed Party shall not, from the entering into of discussions with ZEMCORE GROUP LTD AND EMERGE MODULAR LTD, or at any time after the termination of discussions, directly or indirectly: I. Divulge to any person, firm or corporation, any process, method, invention, discovery, patent, industrial design or device, or any other confidential information, knowledge or data acquired as a result of these discussions. II. Divulge to any person, firm or corporation, any name, address or requirement of any other agent or any customer of ZEMCORE GROUP LTD AND EMERGE MODULAR LTD. III. Retain any property, files, samples or materials of any kind or nature whatsoever pertaining to ZEMCORE GROUP LTD AND EMERGE MODULAR LTD. IV. Attempt to direct the business of ZEMCORE GROUP LTD AND EMERGE MODULAR LTD or their client, customers or associates to any third party. 2. THE PARTIES HERETO ACKNOWLEDGE that the terms of non-disclosure and confidentiality as set forth herein shall continue to remain in full force and effect at all times now and in the future. THIS AGREEMENT SHALL BE INTERPRETED AND GOVERNED in accordance with the laws of the Province of British Columbia, and all parties hereto irrevocably agree to conform to the jurisdiction of the Province of British Columbia. IN WITNESS WHEREOF the parties hereto have affixed their respective hands and seals as of the day and year first written above.
